Terms of Service

1. Engagement & Scope of Work

By commissioning Kode Company for website engineering, custom CRM development, SaaS products, or digital consulting, you agree to these Terms of Service. Each project is executed according to a detailed proposal or Statement of Work (SOW) defining milestones, deliverables, timelines, and costs.

2. Intellectual Property & Code Ownership

We believe in 100% transparent client ownership. Upon final milestone payment settlement:

• Source Code Handover: The client receives complete ownership of all bespoke custom code, design assets, and database schemas created for the project.
• Zero Vendor Lock-In: Clients are free to host, migrate, or extend their application independently without recurring per-seat licensing penalties to Kode Company.

3. Payment Terms & Milestones

Unless otherwise agreed in a written contract:

• Standard website projects operate on milestone-based deposits (typically 50% upfront initiation deposit, with the remaining balance due upon QA approval and production deployment).
• Invoices are payable within 7 business days of issuance.

4. Warranties & Post-Launch Support

All production code delivered by Kode Company includes a standard 30-day post-launch warranty covering bug fixes and verified technical defects arising from original specifications. Extended maintenance agreements and SLA retainers are available upon request.
